We, at Theorycraft Games Inc (“Theorycraft Games” or “us”), support the growth of our esports community. This Limited Game Tournament License (“Tournament License”) permits you (the “Licensee” or “you”) the use and display of our games in your tournament (the “Tournament”) in accordance with the terms and conditions below:
1. Prizes (and Fees)
● The total value of your entire prize pool (whether in the form of cash or non-cash, such as gaming hardware or equipment, travel and lodging expenses, appearance fees, etc.) must not exceed $25,000 USD.
● All tournament prizing must be set in advance, must be clearly stated in your tournament rules, and cannot vary or depend on the number of participants in the tournament.
● The tournament must be free to enter. Charging an entry fee for the venue is allowed, but players must be allowed to participate in the competition for free.
● You cannot create, market, or sell merchandise of any kind (including intangible or digital merchandise) in connection with your tournament.
● You cannot conduct, promote, allow, or benefit from (directly or indirectly) any betting, wagering, or gambling on any match at your tournament.
2. Sponsors
● The total contributions provided by sponsors to you or to the players and/or teams must not exceed $75,000 USD. This amount includes, among other things, contributions provided in the form of prize money, purses, salaries, non-cash prizes (such as gaming hardware or equipment), streaming platform revenue, sponsorship revenue, crowdfunding, and all other items of value (cash and non-cash).
● If you conduct any crowdfunding activity for your tournament, you must state that your competition is licensed under Theorycraft's Tournament License with a link to these terms. You must specify that the crowdfunding campaign is neither endorsed nor sponsored by Theorycraft Games. You must use all proceeds of the crowdfunding campaign for the development and promotion of the Tournament, and you may not retain any portion of the crowdfunding proceeds as profit.
● All sponsors must be identified in your signup form. You must notify us of any changes or additional sponsors by no later than the day of the Tournament via email at [email protected].
● You must state that the Tournament is neither endorsed nor sponsored by Theorycraft. Specifically, you must include the following notice in a clear and conspicuous place on your Tournament website, page, posting, and any competition materials: “THIS TOURNAMENT IS NOT AFFILIATED WITH OR SPONSORED BY Theorycraft Games Inc Theorycraft Games Inc IS NOT RESPONSIBLE FOR ANY PROBLEMS OR ISSUES THAT MAY ARISE AMONG THE PARTICIPANTS, PLAYERS, SPECTATORS, OR ORGANIZERS OF THIS TOURNAMENT.”
● Your tournament cannot include any marketing, promotion, endorsement, or sponsorship of any of the entities, products, or services on the following list: (i) drugs or drug paraphernalia; (ii) tobacco or tobacco related products, including vaping products; (iii) alcohol; (iv) firearms; (v) pornography or any other adult-only materials; (vi) cryptocurrencies, non-fungible tokens (NFTs), or any other blockchain-related product or service; (vii) any business that encourages illegal activities or violates applicable law; (viii) gambling products (including fantasy sports betting), lotteries or illegal wagering; (ix) any business that promotes in-game hacks, cheating, exploits, or in-game currency farming or selling; (x) any business that promotes the sale, rental, licensing, distribution, or transfer of a game account; or (xi) political candidates.
3. Tournament Operation
● You are solely responsible for the administration, promotion, operation, support, costs, expenses, liabilities, and all other aspects of the Tournament(s).
● Your tournament must align with the ESRB game rating of our game.
● All players must be at least 13 years old (or such other age, if greater, as may be required in such player’s country of residence).
● You must ensure competitive integrity in all tournaments you run, and must keep all aspects of your tournament fun, fair, and free from toxic behavior. You are responsible for ensuring that any accompanied chat is adequately moderated to prevent vulgar, abusive, or an otherwise mean-spirited environment.
● You must report to Theorycraft any cheating or suspicious activities. Theorycraft has the sole discretion to monitor your tournament and take any action to enforce our Terms of Use or End User License Agreement.
● You are solely responsible for determining if applicable law in your jurisdiction permits you to pay or award cash and/or non-cash prizes to players or teams.
● You must establish a set of written tournament rules and distribute them to all participants prior to the start of your tournament.
● It is your responsibility to ensure any prize pool promised for a tournament is paid to the players in a timely manner and that the tournament delivers on all rules, guidelines and structure as promised in your tournament rules and format.
● Employees, officers, directors, agents, and representatives of Theorycraft Games (including our legal, promotion, and advertising agencies) and their immediate family members and those living in their household (whether or not related), and each person or entity connected with the production or administration of your tournament, and each parent company, affiliate, subsidiary, agent and representative of Theorycraft Games are not eligible to coach, manage, or own a team, or otherwise participate or win in your tournament.
● You agree to provide Theorycraft Games with any information as we may reasonably request regarding your use of our game and the Tournament.
4. Limited License
● Subject to your compliance with all of the requirements in this Tournament License and the Terms, Theorycraft Games hereby grants to Licensee a personal, revocable, non-transferable, non-sublicensable, non-exclusive, limited license to operate the Tournament(s) in the location and dates specifically described in your signup form.
● You may only use those trademarks, copyright or other forms of intellectual property rights associated with or present in the game(s), including logos, wordmarks, key art, artwork, sounds and other content (collectively, “IP”) as Theorycraft Games may authorize you to use in our [IP Guidelines], and your use must be solely to promote the Tournament(s). Your use and display of our IP must comply with all of our guidelines. Should we request, you must also submit any use of our logos or trademarks for our prior written approval no less than 14 days before you use them.
● Whether the Tournament is played/conducted online and/or in a physical venue or location, you are solely responsible for (i) complying with all applicable laws relating to your tournament and the participation of players in that tournaments; (ii) providing a safe environment for all players, spectators, and attendees; (iii) obtaining all governmental approvals, licenses, and permits required to organize or conduct any tournament, and (iv) ensuring compliance with any applicable player age and work eligibility requirements in the jurisdiction where the tournament is taking place.
● You may only broadcast the Tournament via free web-based video streaming services (e.g. Twitch, YouTube, Kick, etc.). You cannot broadcast your tournament on linear television. You cannot restrict the viewing of your tournament behind a paid purchase requirement of any kind.
5. NO WARRANTIES, LIMITATION OF LIABILITY
● YOU (THE LICENSEE) ARE HEREBY ACCEPTING THE GAME(S) AND THE IP LICENSED BY THEORYCRAFT GAMES ON AN AS-IS BASIS.
● THEORYCRAFT GAMES MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING ITS PERFORMANCE, THE GAME(S), THE IP, OR ANY LICENSE, INCLUDING BUT NOT LIMITED TO: SERVICE OUTAGES OR INTERRUPTIONS, ERRORS, BUGS/VIRUSES, OTHER TECHNICAL ISSUES, AND/OR THE VALIDITY OF THEORYCRAFT GAMES’S RIGHTS IN ANY COUNTRY, AMONG OTHER THINGS.
● Licensee will indemnify, defend, and hold harmless Theorycraft Games, and its parents, subsidiaries, agents, independent contractors, representatives, associates, publishing and distribution partners, and the officers, directors, assigns and licensees, and employees of each of them from and against all losses, costs, damages, judgments, liabilities and expenses (including reasonable attorney’s fees) arising from all third party claims whatsoever, and whenever brought (including claims of copyright infringement or right of privacy or publicity), which may be based directly or indirectly upon the Tournament or Licensee’s use of the game(s) or IP.
All other terms and conditions of our Terms of Service (https://www.playsupervive.com/en-us/terms-of-service), Privacy Policy (https://www.playsupervive.com/en-us/privacy-policy), and any other rules that Theorycraft Games may post, amend, or implement during your use of the game or Services (collectively, the “Terms”), including the arbitration clauses and class action waivers, are incorporated as integral parts of this Tournament License, superseding any prior agreement, whether written or oral, relating to the subject matter of this Tournament License.
Theorycraft Games reserves the right to take action or otherwise stop any competition or tournament at any time if we determine that it would violate or misinterpret this Tournament License or any of our rules or policies.
